      Sugar land being created was the vote I assume he was speaking about, so they were not represented at the time as they did not exist yet..
      According to the minutes DFW, Houston, Katy, San Antonio, and T/C were represented. BCS,lufkin,Liberty and Southeast were not represented. What do the Bylaws state is a quorum? Based on what it shows out of 9 chapters only 5 were represented, except on this matter which only 4 were since Houston abstained.. Don't think that qualifies as a quorum..

      The approved Active Chapter Roster, as provisioned in Article VIII, each year will determine a ‘quorum’ as required for all meetings of the Board of Presidents. Half plus one of the number of active chapters will be the definition of a quorum for the calendar year.

      (number of active chapters / 2) + 1 = quorum

      So according to my understanding of the the bylaws we had a quorum with DFW, Houston, Katy, San Antonio and T/C.

      A majority of board members constitutes a quorum. In absence of a quorum, no formal action shall be taken except to adjourn the meeting to a subsequent date.

      Passage of a motion requires a simple majority (at minimum, one more than half the voting members present).

      I have listed the 'active chapters' as shown in the minutes, and bolded those that were 'represented':
      B/CS
      DFW
      Houston
      Katy

      Liberty
      Lufkin
      San Antonio
      SE Texas
      T/C

      Under scrutiny, it could be considered that the Tomball/Conroe chapter was not 'represented' by leadership, however, Alex and I were both representing as members of our chapter and participated on the call.
      Unless that is unacceptable, we had a quorum and all votes were simple majority (as required by the bylaws) or better.

      On 'Abstaining':
      A Majority is 'more than half' of the votes cast by persons legally entitled to vote, excluding blank votes and abstentions.

      Majority does not mean 51%. In a situation with 1000 votes, Majority = 501 votes; but 51% = 510 votes
      Let's see an example:

      The chair instructed the members, at a meeting with a quorum, to vote by writing 'Yes' or 'No' on a piece of paper.

      Of the members present, 100 were entitled to vote, but 15 did not cast a ballot. Of the 85 votes cast: 75 were legal; 10 were illegal (the members wrote 'Maybe'); and 4 were turned in blank (abstained).

      The Majority is any number larger than one half of the total of ... (legal votes cast) - (blank votes cast) + (illegal votes cast).

      Of the 85 Votes Cast by members entitled to vote ... (75 were valid) - (4 were blank) + (10 were illegal) = 81 Votes Cast.

      One half of 81 Votes Cast is 40 1/2. Majority was 41 votes...."

      Having said all that, I believe we upheld the intent of the rules and hope that is acceptable.

      even you felt tomball conroe was not represented because it didnt get a vote with all the rest.
      and why did houston obstain?

      when you read the bylaws it come across as a chapter has to have a vote for being represented and on the agenda you have 9 chapters listed. i just think if we have all these bylaws we need to follow them
